These Terms of Service ("Terms") govern your access to and use of the Tally service ("Tally" or the "Service") provided by Rhino Labs LLC ("Rhino Labs," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
You must provide accurate information when creating an account and are responsible for all activity that occurs under your account. You must be authorized to connect any third-party accounts (such as Amazon Selling Partner, Shopify, Etsy) you link to Tally.
Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.
You agree not to misuse the Service, including by attempting to access it through unauthorized means, interfering with its operation, or using it to violate any applicable law or third-party rights. You agree to comply with the terms of any third-party platforms you connect to Tally, including Amazon's Acceptable Use Policy and Selling Partner API terms.
You retain ownership of the data you submit or connect to the Service. You grant Rhino Labs a limited license to process your data solely to provide and improve the Service. Upon termination, we will provide reasonable means for you to export your data, after which we may delete it in accordance with our Privacy Policy.
The Service, including its software, design, and content (excluding customer data), is owned by Rhino Labs LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that forecasts or recommendations generated by the Service will be accurate.
To the maximum extent permitted by law, Rhino Labs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with these Terms or the Service. Our total liability for any claims arising out of or relating to these Terms will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
We may suspend or terminate your access to the Service at any time for breach of these Terms or for any other reason on reasonable notice. You may stop using the Service at any time.
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the United States and the state in which Rhino Labs LLC is organized, without regard to its conflict-of-laws principles.
